Welcome to Trackr. These Terms of Service ("Terms") form a binding contract between you and Trackr Technologies ("Trackr", "we", "us") governing your use of the Trackr action-tracker application, including our website, iOS app, Android app, and APIs (the "Service").
By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Trackr is a team action-item tracker: you record meetings, capture action points, assign owners, and track progress to closure. The specific features available depend on the plan you or your organisation subscribes to (Free, Team, Enterprise).
2. Eligibility
- You must be at least 16 years old to use Trackr.
- If you are using Trackr on behalf of a company, you confirm that you have authority to bind that company to these Terms.
- You must provide accurate and current account information.
3. Your account
- You are responsible for all activity under your account and for keeping your credentials confidential.
- You must notify us immediately at security@trackr.com if you suspect unauthorised access.
- We may suspend or terminate any account used in breach of these Terms or in a manner that places the Service, other customers, or third parties at risk.
4. Organisation and roles
Trackr is used by organisations. The person who creates an organisation becomes its initial admin. Admins can:
- Invite and remove members.
- Change member roles.
- Access all actions and meetings created by members of that organisation.
- Delete the entire organisation, which permanently removes all associated data.
Members (non-admins) can access actions assigned to them and meetings they attend. If you are added to an organisation by an admin, your use of the Service is governed by these Terms and any additional policies of that organisation.
5. Acceptable use
You agree not to:
- Upload content that is unlawful, harassing, defamatory, obscene, or infringes the rights of others.
- Upload malware, viruses, or any code designed to interfere with the Service.
- Attempt to reverse-engineer, decompile, or circumvent the security of the Service.
- Use the Service to send spam or unsolicited communications.
- Scrape, crawl, or bulk-export other organisations' data.
- Misrepresent your identity or affiliation when creating an account.
- Attempt to access another organisation's data without authorisation.
- Use the Service to build a competing product.
- Automate account creation or use the Service with bots, except through our public API in accordance with its documentation.
6. Your content
- You retain all ownership and intellectual property rights in the content you upload ("Your Content").
- You grant Trackr a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely for the purpose of providing the Service to you and your organisation.
- This licence ends when you delete Your Content or close your account, except to the limited extent required to honour backups and legal retention as described in our Privacy Policy.
- We do not use Your Content to train machine-learning models or to market to third parties.
7. Plans, billing, and free trials
- Free plan: available with feature limits, usable for as long as you want without a card.
- Paid plans: billed monthly or annually in advance. All prices are in your plan currency and exclude applicable taxes unless stated.
- Auto-renewal: paid plans renew automatically at the end of each billing period. You can cancel at any time through Settings → Plan; cancellation takes effect at the end of the current period.
- Refunds: we refund the unused portion of an annual prepayment if you cancel within 14 days of purchase or upgrade. Monthly plans are not refundable but stop renewing immediately on cancellation.
- Price changes: we'll give 30 days' notice before any price increase takes effect. The new price applies on your next renewal.
- Non-payment: if a charge fails, we'll retry and email you. If payment remains unresolved for 14 days, the organisation may be downgraded to the Free plan, and some features may be restricted until payment resumes.
8. Service availability
We aim for 99.5% uptime measured monthly. Planned maintenance is announced in advance through the status page at status.trackr.com. Downtime does not create a refund entitlement except where stated in an Enterprise agreement.
9. Termination
- By you: you can close your account at any time via Settings → Danger Zone → Delete my account, or by visiting trackr.com/delete-account. Deletion is permanent (see Privacy Policy for retention specifics).
- By us for cause: we can suspend or terminate your account immediately for material breach of these Terms, fraud, illegal activity, or if ordered to do so by a regulator or court.
- By us for convenience: we may terminate Free-plan accounts that have been inactive for over 12 months, with 30 days' notice by email.
- Effect of termination: your access ends, and Your Content is deleted per the retention schedule in our Privacy Policy.
10. Intellectual property
Trackr, its logo, source code, design, text, graphics, and the user interface are owned by Trackr Technologies and protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works based on the Service, except as expressly permitted.
11. Third-party services
The Service integrates with third-party services — email delivery (ZeptoMail / Brevo), push notifications (Firebase / APNs), file storage (Cloudflare R2), and hosting. Your use of those services is governed by their own terms and privacy policies. Trackr is not responsible for them.
12. Warranty disclaimer
The Service is provided "as is" and "as available". To the fullest extent permitted by law, Trackr disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
13. Limitation of liability
To the fullest extent permitted by law:
- Trackr shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages — including lost profits, lost data, business interruption, or loss of goodwill — arising out of or related to the Service.
- Our aggregate liability for any claim is limited to the amount you paid to Trackr in the 12 months preceding the event giving rise to the claim, or $100, whichever is greater.
- These limitations do not apply to liabilities that cannot be limited by law (such as gross negligence, wilful misconduct, or fraud).
14. Indemnification
You agree to defend and indemnify Trackr against any third-party claims arising from (a) Your Content, (b) your breach of these Terms, or (c) your violation of any law or right of a third party.
15. Governing law & disputes
- These Terms are governed by the laws of [Jurisdiction], without regard to its conflict-of-law principles.
- Any dispute shall be resolved in the courts of [City, Jurisdiction], except where applicable consumer law requires otherwise.
- Before filing a claim, you agree to contact legal@trackr.com and give us 30 days to attempt an amicable resolution.
16. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email and in-app at least 30 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms. If you don't accept, you can stop using the Service — we'll delete your data per our Privacy Policy.
17. General
- Entire agreement: these Terms and our Privacy Policy are the full agreement between you and us regarding the Service.
- Severability: if any part is found unenforceable, the rest stays in force.
- Assignment: you may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- No waiver: our failure to enforce any right isn't a waiver of that right.
- Notices to us: sent to legal@trackr.com or by post to our registered address.
- Notices to you: sent by email to the address on your account.
